This organization shall be known as European Americans United and will be referenced in this document both by the foregoing name and as the Organization.
The objectives of the Organization shall be as follows:
- To foster a strong and healthy personal identity among European Americans that is based on appreciation of the rich cultural heritage and accomplishments of our people.
- To promote the understanding of our organizational statements of ethics and principals and to advocate for their implementation socially, politically, individually, or anywhere else they can be applied.
- To promote the understanding that European Americans have unique interests, and that working to advance these interests is in no way hateful or immoral, but natural and essential for our continuity and well-being.
- To educate and inform European Americans about news and issues of interest and importance.
- To provide a social network that promotes social and intellectual engagement among members through a system of local chapters and special project groups and to encourage a friendly community spirit among members.
- To support the preservation and advancement of the two-parent European American family, and to promote the classical European gender relationship model of complimentary partnership and cooperation, rather than a Marxist inspired “gender identity”.
- To advance the status of the United States as a self-governed nation state free of foreign influence.
- To advance the economic self-sufficiency of the United States.
The objectives of The Organization shall be pursued within a philosophical framework known as the Statement of Principles. Said Statement of Principles is appended hereto and incorporated herein by reference.
IV. Volunteer Membership
Any person eighteen years of age or greater with no physically discernible admixture of non-European ancestry shall be eligible for membership as a volunteer provided that:
- The person shall certify agreement with The Organization's objectives and Statement of Principles.
- The person shall certify agreement to adhere to The Organization's ethical requirements contained in a document entitled “European Americans United Ethics” appended hereto and incorporated herein by reference.
- The person shall confirm the absence of a conflict of interest that could compromise his or her effectiveness in pursuing the Objectives of The Organization.
- The person shall agree to indemnify and hold harmless The Organization, its administration, it's volunteers, it's Chapter Coordinators and all of their successors and assigns for any harm suffered either directly or indirectly as a result of pursuing the organization's objectives.
- The person shall agree to a non-disclosure agreement whose term shall survive the person's volunteer membership not to reveal the volunteer membership status of any person to any other person who is not also a Organization member unless compelled to do so by a Court Order or necessary to comply with (IV)-(C)-(1) and (IV)-(A)-(2) herein.
- The person shall not have been previously banned from Volunteer Membership unless a subsequent simple majority vote of the Board of Directors shall have lifted the ban.
- A volunteer member may join using a pseudonym if they hold a sensitive job, particularly with a governmental entity. The Organization shall communicate with such members via Email rather than postal mail so that a volunteer member's name and address need not be known even to the Board. In this fashion, the potential for abuse inherent in leaking the identities of members is diminished. However, a pseudonymous member shall not become an administrative member unless he has been met personally by a Chapter Coordinator or similarly trusted individual and vouched for to the satisfaction of the Board of Directors.
- Upon a volunteer member's acceptance by the Board, the member shall be assigned a unique membership identification number that shall constitute member identification.
(B) Classes of Volunteer Membership
The Organization shall have no paid positions or employees so all personnel shall be volunteers.
Volunteer members shall be divided into three classes:
- Volunteer Members who are affiliated with a local Chapter of The Organization. These are Chapter Members.
- Volunteer Members who are unaffiliated with a local Chapter. These are At-Large Members.
- Volunteer Members who are affiliated with the Organization's Board of Directors, either as members of the Board, directly reporting to the Board, or as members of a Special Project Group. These are Administrative Members.
(C ) Responsibilities of Volunteer Membership
- Volunteer Members shall at all times, even when not directly involved in organization business, conduct themselves in keeping with Organization Ethics and as exemplars of traditional European values who can be held up as examples and role models.
- Volunteer Members shall pay their yearly dues in a timely manner within thirty days of their annual due date.
- Volunteer Members shall accomplish volunteer activities on behalf of the Organization. Chapter members will act under the direction of their Chapter Coordinators. Administrative Members will act under the direction of the Board of Directors. At-Large Members will participate in volunteer activities in keeping with current campaigns published on the Organization's website.
- Chapter Coordinators shall act under their own direction, guided by current campaigns published on the Organization's website, their understanding of conditions in their locality, and the Objectives and Principles of The Organization. The decisions of Chapter Coordinators can be overridden by a simple majority vote of the Board of Directors except as otherwise provided in this Constitution.
- Project Coordinators shall act under their own direction in the pursuit of goals established by the Board of Directors and will provide status updates for current projects to the Board or the Executive Director at least monthly. The decisions of Project Coordinators can be overridden by a simple majority vote of the Board of Directors except as otherwise provided in this Constitution.
(D) Termination of Volunteer Membership
- Dues already paid are non-refundable and non-pro-rated and are surrendered upon termination of volunteer membership.
- Volunteer Members may, at their sole discretion, terminate their volunteer membership at any time with no explanation being required. So long as the eligibility requirements of (IV)-(A) are maintained thereafter, the former member may re-join without prejudice at a later date. Notice of termination of volunteer membership must be provided in writing via either Email, Postal Mail or Hand Delivery. For Chapter Members, such notice shall be delivered to the Chapter Coordinator. Both At-Large Members and Administrative Members shall deliver such notice to any member of the Board of Directors or the Board of Directors as a whole.
- Volunteer Members of any class may be removed and banned from membership for Cause. Failure to meet the responsibilities of (IV)-(C) or the eligibility requirements of (IV)-(A) shall constitute Cause.
- A Chapter Member's membership status may be terminated by the Chapter's Coordinator for Cause at the sole discretion of the Chapter Coordinator. In such an event, the Chapter Coordinator shall provide a written report via Email detailing the Cause and evidence to the Board of Directors as soon as possible and make every reasonable effort to inform the volunteer member of his or her removal by any available means. The former Chapter Member may appeal the decision of the Chapter Coordinator to the Board of Directors by providing a written explanation and appeal to the Board of Directors. A unanimous vote by the Board of Directors is required to override the Chapter Coordinator's decision. In the event of such an override, the membership of the person shall be reinstated, but as an At-Large Member who may no longer take part in the activities of the Chapter with which he or she was formerly affiliated. The associated Chapter Coordinator can send the Board of Directors a request in writing to waive this condition; whereupon the condition may be waived by a simple majority vote of the Board of Directors thus reinstating the volunteer member as a Chapter Member.
- Any volunteer member of any class can be removed from membership and banned for Cause as described in (IV)-(D)-(3) by a simple majority vote of the Board of Directors. In the event that the volunteer member is a member of the Board of Directors and the remaining board members constitute two or fewer; the remaining board member(s) shall temporarily select one or more Administrative Members or Chapter Coordinators as pro-tempore Board of Directors members so that either three or five total members may vote.
- Any volunteer member banned by the Board of Directors may be reinstated by the Board of Directors by a simple majority vote.
- All volunteer members are reminded that whether termination of membership is voluntary or involuntary, the terms of the nondisclosure agreement persist, and violation of the nondisclosure agreement could result in legal action both by the Board of Directors and by any volunteer member(s) harmed as a result.
V. The Board of Directors
The governing body of The Organization shall be called the Board of Directors or simply “the Board.” The board shall be comprised of activist volunteers whose work to advance the interests of European-Americans is known and has taken place for at least two years.
Whenever the number of board members present for a vote is even and a vote is tied, the members shall draw lots to determine which member's vote shall count twice. This double-vote shall only apply to the instance for which lots were drawn. The drawing of lots shall be accomplished as follows:
- Each member shall have a correct copy of the U.S. Constitution downloaded from http://www.constitution.org/constit_.htm.
- The Article of the Constitution used for this process shall be the Article number corresponding to the day of the week upon which the meeting is held, counting Sunday as the first day, except that meetings held on Saturday shall use Article I rather than Article VII.
- Each Board member shall count forward from the first word following the Roman numeral of the article number a number of words equal to the number of letters in his full first and last name and then backwards a number of words equal to the number of directors present at the meeting but shall count back no further than the first word of the Article.
- The numeric value of the selected word shall be calculated for each director, with the value assigned to each letter starting from A being 1 through Z being 26. The numeric values of each letter of the word shall be added together to create a sum.
- Whichever director's word has the lowest sum shall be the director whose vote shall count twice. In the event of a tie with two directors having the lowest sum, the vote on that issue will be postponed until a later meeting.
The board shall initially be composed of three members, but can have as few as two and as many as five. As long as the board has two or more members, it will appoint new members from the membership as needed by a simple majority vote of the existing board members. If the number of board members should be only one or fewer, then the Chapter Leader Conference will appoint two more members to the board by a simple majority vote as soon as humanly possible.
Except for the first three board members who shall stagger the lengths of their first respective terms to six, twelve and eighteen months by mutual agreement so that continuity of administration is feasible, the term of service of board members shall be 18 months. While the number of terms that a board member may serve is unlimited, no person can serve as a board member for more than two terms in a row without an intervening break of at least six months.
At all meetings of the Board of Directors a majority of the whole Board shall be necessary to constitute a quorum; in the absence of a quorum, the members present can adjourn from day to day or to a future day, but no official business requiring action of the Board can be transacted until a quorum is secured.
Unless specified otherwise, all votes of the Board of Directors shall be decided by simple majority.
The Board of Directors shall meet monthly at a time designated by the Board or more often if the Board votes to do so. Any member of the Board or the Executive Director may call an Emergency meeting of the board.
The Board shall have the following duties, powers and responsibilities along with any other powers, duties and responsibilities not specifically mentioned but necessary to accomplish the provisions of this Constitution:
- Accept or reject new applicants for membership.
- Establish dues for volunteer membership.
- Terminate memberships for all membership classes when appropriate, and review Chapter Member terminations upon written request of the Chapter Member when such termination was exercised by a Chapter Coordinator.
Appoint and remove Chapter Coordinators and recognize or disband Chapters by a simple majority vote.
- Make changes to this Constitution as described in Section X when the Board deems changes to be appropriate.
- Make public statements and press releases on behalf of the Organization and approve such statements by members in advance of their delivery. Only statements approved by the Board of Directors or approved by such person(s) as the Board may designate shall be deemed official.
- Make changes to the Organization's Statement of Principles and Organization Ethics by unanimous vote when the Board deems changes to be appropriate.
- Conduct all of the legal, banking and contractual affairs of the Organization.
- Incur debts on behalf of The Organization.
- Pay debts on behalf of The Organization.
- Pay any other bills as deemed appropriate by the Board, including without limitation reimbursement of documented activism expenses of Volunteer Members and Chapters at the board's discretion. No Board member shall approve the reimbursement of his own expenses.
- Determine the direction and techniques of the educational efforts of Volunteer Members.
- Establish bylaws and guidelines for the conduct of Chapter and member volunteer operations.
- Keep the Organization volunteers focused on achievement of its Objectives.
- Communicate regularly with the membership to make sure member ideas are being considered and that every Volunteer Member and Chapter is still working in concert with the Organization's Statement of Principles and Organization Ethics.
- Establish, decommission and appoint the members of Special Project groups as needed to accomplish specific tasks.
- Make certain that member and non-member inquiries are answered in a timely fashion and that every member knows how to contact key Organization volunteers directly; including all Board members and Chapter Coordinators plus other Organization volunteers as the Board deems appropriate.
- The Board of Directors may appoint an Executive Director at their discretion who shall serve at the pleasure of the Board of Directors. The Executive Director may be a member volunteer of any class. The Board of directors may delegate the following responsibilities to the Executive Director and no others: (V)(H)(1), (V)(H)(3) on an emergency basis only, (V)(H)(6), (V)(H)(8) ,(V)(H)(10), (V)(H)(11) for amounts under the sum detailed in section (V)(H)(20), (V)(H)(14) , (V)(H)(15), (V)(H)(16), and (V)(H)(17). In addition to the foregoing responsibilities, the Executive Director may override the decisions of Chapter and Project Coordinators until the matter comes up for a vote of the Board of Directors.
- Appoint such other personnel as may be prudent from time to time to exercise specific corporate functions including without limitation Media Directors, Accountants and Treasurers. Any volunteer member not otherwise prohibited from Administrative membership can be appointed to these tasks.
- The sum of $500 or such other amount as a quorum of the Board of Directors shall unanimously decide.
- Change the assignments of members to various positions as deemed necessary.
- The Board may change a member's position without terminating the member's membership.
Whenever three or more Volunteer Members live within close enough proximity to cooperate on projects, they may apply to the Board of Directors for permission to form a local Chapter of the Organization.
In order to found a Chapter, the At-Large members will provide an application to the Board containing the membership identification of the members of the proposed Chapter, a suitable name for the Chapter, and the membership identification of the member who is proposed to be the Chapter Coordinator. The Board of Directors will review this application and approve or disapprove of the new Chapter, or approve it with conditions on a simple majority vote.
The conditions imposed by the Board may include without limitations the appointment of a Chapter Coordinator other than the one proposed, a revision of the name of the Chapter or the exclusion of a member from the formed Chapter without prejudice.
Upon approval of the Chapter by the Board, the Chapter Coordinator shall appoint an alternate from the Chapter Members who shall serve in his stead in the event of his no longer being a member, incapacity, or any other reason he cannot fulfill the duties of his office. The Chapter Coordinator shall inform the Board of Directors of this choice.
At-large members may become Chapter Members if the Chapter Coordinator allows their membership in the Chapter except as otherwise provided in this Constitution. Chapter Coordinators shall inform the Board of Directors of the change in status of the member by forwarding details of the member's membership identification to the Board of Directors.
The Board of Directors may, at any time and for any reason, with or without notice, decommission a Chapter or appoint a new person as a Chapter's coordinator.
The Board of Directors may, at any time and for any reason, with or without notice, appoint a Chapter Member or Chapter Coordinator as either a member of the Board of Directors or as an Administrative Member subject to that member's consent.
If a Chapter Member or Chapter Coordinator has been made a member of the Board of Directors or an Administrative Member, then administrative work shall take priority over Chapter work and the member shall be relieved of Chapter responsibilities if he so chooses and informs the Chapter Coordinator accordingly. This is an option rather than a requirement and would only be made a requirement in a given case by a simple majority vote of the Board of Directors if Chapter responsibilities were compromising administrative tasks.
Chapter members and Chapters as a whole are expected to represent the best that traditional European Americans have to offer, and should groom their appearance, presentation and behavior accordingly.
Chapter members and Chapters as a whole are expected to uphold the Organization's Ethics and Organization's Statement of Principles and Objectives.
While Chapters may undertake projects that advance the Organization's objectives under their own direction, the Board of Directors may, at any time, call a halt to such projects by a simple majority vote.
Chapter Coordinators shall file a monthly summary report of the Chapter's activities over the past month. The summary shall be sufficiently detailed to allow for reporting in the Organization's periodic communications with all Organization members, but sufficiently ambiguous that a person reading the report would be unable to state that any given member was at a precise location at a precise time.
If Chapter Coordinators collect donations from Chapter members to assist with Chapter activities, those funds should be used for Chapter activities. Chapter funds shall not be forwarded to the Organization, the Board of Directors, or any purpose outside the Chapter except with the unanimous approval of all Chapter Members who contributed the funds. Chapter Coordinators shall provide Chapter Members with a full accounting of the fate of their donations at least twice a year.
Chapter Coordinators may delegate responsibility to Chapter Members.
Chapter Coordinators may exclude Chapter Members from the Chapter for any reason at their sole discretion causing the member's membership status to revert to At-Large. The Board of Directors shall not have the power to override such an exclusion exercised by a Chapter Coordinator.
If a Chapter has more than fifteen members, it may adopt a Chapter Board of Directors rather than a Chapter Coordinator and establish its own rules for the selection and composition of the Chapter Board except that members of the Chapter Board may be removed by the Organization Board at any time and for any reason by a simple majority vote.
Any rule in this Constitution applying to Chapter Coordinators will apply equally to both Chapter Boards as a whole and Chapter Board members individually.
The Organization's Board of Directors may promulgate additional rules for Chapters, their formation, and their activities at their discretion, and will make sure that all member volunteers have an updated copy of the rules at least yearly and that Chapter Coordinators are provided with any amendments or additions as soon as possible after their adoption.
VII Special Project Groups
The Board may, from time to time, create and disband Special Project Groups and appoint or remove members from those groups. The purpose of Special Project Groups shall be to pursue a particular specialized objective that is outside the scope of normal Chapter activity. Such specialized objectives could include, by way of example but not limitation, editorial review of a news and opinion website, creation of a member handbook, crafting model legislation or creation of educational materials for children.
Member Volunteers assigned to a Special Projects Group are Administrative Members.
If the Board sees fit to appoint a person to coordinate the activities of a Special Projects Group, that person shall be termed the Project Coordinator for that Group and shall provide regular status updates to the Board of Directors or such person as the Board may designate as required, and shall serve at the pleasure of the Board.
VIII Chapter Leader Conference
To assist communications between the Board of Directors and the member volunteers, a Chapter Leader Conference shall be created as follows:
All Chapter Coordinators, Project Coordinators and all Key Members will be members of the Chapter Leader Conference.
It is the responsibility of the Board of Directors or their Executive Director to inform Key Members of their status in this regard.
Members of the Chapter Leader Conference are responsible to establish an ongoing dialog among themselves and excluding none of the members of the Conference.
Members of the Chapter Leader Conference shall appoint one of their number to the post of Chapter Liaison who shall attend regularly scheduled meetings of the Organization's Board of Directors both to provide insight and ideas from the membership and to communicate the Board's actions to the members of the Chapter Leader Conference; except that Board actions explicitly declared confidential shall not be communicated.
Members of the Chapter Leader Conference will actively maintain bidirectional communication between member volunteers and the Chapter Liaison.
The Chapter Liaison shall not have the right to vote in matters before the Board of Directors unless specifically granted that right for the duration of that meeting by a unanimous vote of the Directors present and the number of Directors present excluding the Chapter Liaison already constituting a quorum.
The European American Organization is an all volunteer organization that requires both the time and financial support of its volunteer members to attain its objectives; as such, volunteer members are required to pay dues annually. The Board of Directors shall establish the amount of dues and inform members of same.
Dues shall be paid annually and are non-refundable and non-pro-rated.
Unless an exception is made by the Board due to either financial hardship or other financial contributions of the member volunteer, each member shall remit dues in full within thirty days of each anniversary of his being accepted as a member volunteer.
Administrative Members and Chapter Coordinators shall not be required to pay dues but may still contribute funds to the Organization if they desire.
- Because the Organization wishes to distinguish itself as the preeminent advocacy group for European Americans, the following rules apply:
- Until July 31st of 2008, 35% of all dues collected shall be placed in a legal fund for the purpose of providing legal assistance to volunteer members who, in spite of adhering to the Organization's Statement of Principles and Organization Ethics that require strict legality, find themselves unjustly prosecuted, persecuted, or fired from their jobs as a result of their involvement with the Organization. After July 31st of 2008, the percentage shall be 25%.
- The Board of Directors shall inform members of the Chapter Leader Conference at least annually of the balance available in the legal fund.
Whether funds from the Legal Fund will be disbursed will be considered by the Board of Directors on a case-by-case basis and will require a unanimous vote of the Board of Directors.
- After July 31st of 2008, 10% of all dues collected from Chapter Members will be earmarked for equal distribution between the existing Chapters. Those funds will be provided to a given Chapter upon application by that Chapter's Coordinator stating the purpose to which the funds will be applied. Disbursements of Chapter funds require the agreement of only one member of the Board of Directors or of the Executive Director.
- If a Chapter is decommissioned by the Board of Directors or disbanded by the Chapter Members, funds earmarked for that Chapter will be distributed equally among remaining Chapters.
- After July 31st of 2008, 10% of all dues collected from At-Large Members will be earmarked for the use of Special Project Groups.
- Member volunteers will be given opportunities throughout the year to make additional donations to either the general fund or earmarked for Chapters or Special Project Groups, the Legal Fund or such other funds as the Board of Directors may establish.
- While the Organization will not generally disclose the specifics of finances or membership numbers for strategic reasons, the Board of Directors shall provide member volunteers an annual breakdown of where their annual dues have been used based upon percentages. This is intended to prevent the Organization from becoming a cash cow for unscrupulous individuals.
The provisions of this Constitution except for this section and (V)(H)(18), may be amended, revised or repealed in whole or in part by two unanimous votes of the Board of Directors taken at least two weeks apart. When such changes are made, they will be reported to all member volunteers as soon as practicable along with the reasons that necessitated the change. Any member who wishes to terminate his or her membership as a result of an amendment to this Constitution may do so without prejudice.
This Constitution is written in traditional American English. As such, references to “he,” “him,” or “his” shall be understood to encompass persons of either sex.
Any references to members or membership as a whole shall be understood to refer to member volunteers.
In cases of ambiguity or confusion as to the meaning or intent of any provisions of this Constitution, clarification will be sought with reference to the Organization's Objectives, Principles and Ethics – in that order.
Any conflicts of authority arising under this Constitution shall be resolved in the same fashion by determining which resolution of the conflict is most in keeping with the Organization's Objectives, Principles and Ethics.
